万华化学（证券代码：600309）董事会 hereby announces that as of April 10, 2025, the company has been informed by Ningbo Zhongkai信创业投资股份有限公司 (referred to as "Zhongkai Investment") regarding a share pledge transaction.

Zhongkai Investment holds a total of 301,808,357 shares in the company, representing 9.61% of the total issued shares. As part of their shareholding structure, up to and including this latest transaction, Zhongkai Investment has pledged a cumulative total of 83,000,000 shares, which accounts for approximately 27.50% of their holdings.

These shares were pledged as additional collateral for prior share pledges and are not utilized for purposes such as performance guarantees related to significant asset reorganization or other assurance matters.

As of the date of this notice, Zhongkai Investment and its associated company烟台中诚投资股份有限公司 (referred to as "Zhongcheng Investment") have collectively pledged a total of 83,000,000 shares.
